Notice of Change of Investing Company by Transfer of Equities

Santoku Corporation (having its headquarter at Higashinada-Ku, Kobe-Shi, Hyogo, Japan, hereinafter referred to as “STC”), which owns 94.4% of all equities of Baotou Santoku Battery Materials Co., Ltd. (hereinafter referred to as the “Company”), has signed a equity transfer contract with to FDK Corporation (having its headquarter at Minato-Ku, Tokyo, Japan, hereinafter referred to as “FDK”) to transfer of all of its equities in the Company (hereinafter referred to as this “Transaction”) on December 1, 2023.

By acquiring equities of the Company, FDK aims to integrate the manufacturing and development technology of hydrogen storage alloys for batteries developed by BSBM with the development capabilities and commercial networks of nickel hydrogen batteries owned by FDK for the purpose of further expanding the gap with its competitors and strengthen its global market share.

2. Schedules

This Transaction is expected to be approved by the board of directors of the Company around early February 2024.

3. Possible Impact

（1）The name of the Company will be changed. We will inform you immediately upon the decision of the new company name.

（2）Except for the above, this Transaction will impose no impact on your company. The production system and quality management system of the Company will be maintained and the quality and supply of our products will not be changed.
